Terms of Service

1. Acceptance of Terms

By accessing or using the Pioggia platform, website, mobile applications, or any associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Nuvola Di Pioggia SL ("Pioggia," "we," "us," or "our"), a sociedad limitada registered in Spain (NIF B75328922).

If you do not agree to these Terms, do not use our Services. If you are using our Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

Pioggia provides an AI data services platform that enables enterprise clients to obtain on-demand, human-validated video and image datasets ("Traiin Video"), and to evaluate AI video model outputs using real human feedback ("Traiin Data"). The platform operates a global contributor network through which individuals capture, validate, and annotate media content in exchange for on-chain rewards.

3. Eligibility

You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement. Users under 18 are not permitted to participate as contributors or access enterprise features.

4. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. Pioggia is not liable for any loss arising from unauthorized account access that results from your failure to safeguard your credentials.

5. Contributor Terms

If you participate as a contributor on the Pioggia platform:

• You grant Pioggia a perpetual, worldwide, royalty-free license to use, distribute, and sublicense content you submit through the platform
• You represent that you own or have the right to submit all content you upload
• You agree to capture only content for which you have appropriate rights and permissions
• Rewards are distributed via on-chain mechanisms and are subject to applicable tax obligations in your jurisdiction
• Your AI Reputation Score may affect your eligibility to participate in certain campaigns

6. Enterprise Client Terms

Enterprise clients accessing datasets or evaluation services:

• May use delivered datasets solely for the purposes specified in their enterprise agreement
• May not resell, redistribute, or sublicense datasets without explicit written permission from Pioggia
• Acknowledge that dataset pricing and delivery terms are governed by separate enterprise agreements
• Are responsible for ensuring their use of datasets complies with applicable AI regulations, including the EU AI Act

7. Prohibited Uses

You may not use our Services to:

• Upload, distribute, or create child sexual abuse material (CSAM) or any content that exploits minors
• Submit content that infringes any intellectual property, privacy, or other rights
• Engage in fraud, deception, or manipulation of the contributor reward system
• Reverse engineer, decompile, or attempt to extract source code from our platform
• Use automated tools to scrape, harvest, or collect data from our platform without authorization
• Violate any applicable local, national, or international law or regulation

8. Intellectual Property

All platform technology, software, design, branding, and content created by Pioggia is the exclusive property of Nuvola Di Pioggia SL and is protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use Pioggia's trademarks, logos, or other proprietary materials without express written consent.

9. Disclaimers

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. Pioggia does not warrant that the Services will be uninterrupted, error-free, or free of viruses. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability and fitness for a particular purpose.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Pioggia and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of or inability to use our Services.

11. Termination

Pioggia may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination — including intellectual property rights, disclaimers, and limitations of liability — shall survive.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of Spain, without regard to conflict-of-law principles. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Santa Cruz de Tenerife, Spain, and both parties waive any other forum to which they may be entitled. Either party may seek injunctive relief in any court of competent jurisdiction for intellectual property violations. If you are a consumer resident in the European Union, nothing in this section deprives you of the protection of mandatory provisions of the law of your country of residence, or of your right to bring proceedings in the courts of that country.

12A. Consumers

If you use the Services as a consumer within the meaning of Spanish Royal Legislative Decree 1/2007 (TRLGDCU) or equivalent EU consumer law, nothing in these Terms limits the rights you have under that law, including the right to withdraw from a distance contract within 14 days where it applies, the statutory guarantees for digital content and services, and the right to bring a claim before the consumer authorities or courts of your place of residence. Where a provision of these Terms conflicts with a mandatory consumer rule, the rule prevails.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date and, where appropriate, by in-app notification or email. Your continued use of the Services after changes become effective constitutes your acceptance of the updated Terms.
